Acceptance of Terms

By accessing or using Niiio AI (“the Service”), you agree to be bound by these Terms of Service. If you are using the Service on behalf of a company, you represent that you have authority to bind that company to these terms.

Description of Service

Niiio AI is an AI-powered sales concierge platform that monitors your email inbox, reads incoming lead inquiries, searches your uploaded knowledge base, and sends AI-generated responses on your behalf. The Service is designed for home builders and real estate professionals.

Your Account

• You are responsible for maintaining the security of your account credentials.
• You are responsible for all activity that occurs under your account, including emails sent by the AI on your behalf.
• You must provide accurate and complete information when creating an account.
• You must notify us immediately if you become aware of any unauthorized access to your account.
• You are responsible for maintaining the accuracy and currency of your knowledge base content, including pricing, availability, and feature information.

Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or to send unsolicited messages.
• Upload content that infringes on the intellectual property rights of others.
• Attempt to gain unauthorized access to the Service or its related systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Resell, sublicense, or provide the Service to third parties without our consent.
• Upload content that is knowingly false, misleading, or designed to deceive buyers.
• Upload content that violates fair housing laws, human rights legislation, or discriminatory advertising standards.

Your Content

You retain ownership of all content you upload to the Service, including documents, spreadsheets, and website content. By uploading content, you grant us a limited license to process it for the purpose of operating the Service (e.g., generating embeddings, searching your knowledge base, and composing AI responses).

AI-Generated Responses

The Service uses artificial intelligence to generate email responses on your behalf based on your uploaded knowledge base content.

Shared Responsibility.Niiio is responsible for the platform operating correctly — generating responses based on your content, routing escalations, and maintaining system reliability. You are responsible for the accuracy and currency of your knowledge base content. AI response quality depends directly on the quality and freshness of the materials you provide.

AI Limitations. While the AI is designed to reference only your uploaded content, AI-generated responses may occasionally contain inaccuracies, misinterpretations, or omissions. The AI uses approximate language for pricing and directs buyers to your sales team for specifics. However, this does not guarantee that all information will be correct.

Your Obligation. You are ultimately responsible for all communications sent from your inbox, including those generated by the AI. We recommend periodically reviewing conversation logs in your dashboard and keeping your knowledge base materials current.

Buyer Data. The Service collects information from buyer email conversations (name, email, phone, expressed preferences) to improve response quality and qualify leads on your behalf. You are the data controller for this information. Niiio processes it on your behalf as a data processor. See our Privacy Policy for details.

Payment and Billing

Paid plans are billed on a monthly or annual basis. Payments are processed securely by Stripe. You may cancel your subscription at any time; access continues through the end of the current billing period. We reserve the right to change pricing with 30 days' notice.

Limitation of Liability

To the maximum extent permitted by law, Niiio AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, or data, arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

Without limiting the foregoing, Niiio is not liable for (a) inaccuracies in AI-generated responses that result from outdated, incomplete, or incorrect knowledge base content provided by you; (b) business decisions made by buyers based on AI-generated responses; or (c) any failure to comply with applicable laws resulting from content you upload or communications you authorize.

Indemnification

You agree to indemnify, defend, and hold harmless Niiio AI and its officers, employees, and agents from any third-party claims, damages, losses, or expenses (including reasonable legal fees) arising from (a) the accuracy or completeness of your knowledge base content; (b) your use of the Service in violation of these terms or applicable law; or (c) any dispute between you and your buyers related to AI-generated communications.

Data Processing

When the Service processes buyer personal information on your behalf, you act as the data controller and Niiio acts as the data processor. You are responsible for ensuring that your use of the Service complies with applicable privacy laws, including obtaining any required consent from buyers. Niiio processes buyer data solely to operate the Service as instructed by you and does not use buyer data for any independent purpose.

Termination

We may suspend or terminate your access to the Service at any time for violation of these terms. You may terminate your account at any time by contacting us. Upon termination, your data will be deleted in accordance with our Privacy Policy.

Changes to These Terms

We may update these terms from time to time. Material changes will be communicated via email or an in-app notice at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.

Governing Law

These terms are governed by the laws of the Province of Alberta, Canada. Any disputes shall be resolved in the courts of Alberta.
